These Terms and Conditions (“Terms”) apply exclusively to the Trial version (“Trial”) of RESPONSUM. The Trial is made available to users free of charge for a limited duration and with limited functionalities, for the sole purpose of evaluating RESPONSUM. By using the Trial, you agree to these Terms. If you do not agree to these Terms, do not access or use the Trial. 

1. Definitions

For the purpose of these Terms, the following capitalized terms shall have the meaning assigned to them below: 

Trial Account

A user account created as part of getting access to the Trial environment.

Trial Period

The duration in which your Trial and Trial account are active with RESPONSUM.

Trial (environment)

The limited environment of RESPONSUM that you get access to during the trial period.

User

The natural person registering for the trial environment of RESPONSUM.

Personal Information

Personal data as defined in art. 4, 1) of the GDPR, in particular all information about an identified or identifiable natural person; an identifiable natural person is one who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, an identification number, location data, an online identifier or to one or more factors specific to the physical, physiological, genetic, psychological, economic, cultural or social identity of that natural person.

Platform

The digital environment offered to you by Responsum  on which you can use our services, which is accessible via the secure website.

Provider

RESPONSUM bv. with headquarters on Excelsiorlaan 43/3, 1930 Zaventem Belgium and company registration number BE0634.877.668.

2. Scope and Eligibility

  1. These Terms apply exclusively to the use of the Trial version of our app. They do not apply to any paid or full license or subscription version of RESPONSUM. 
  2. Access to the Trial is granted solely for the evaluation and testing of the Platform. Users may not use the Trial for production, commercial or revenue-generating purposes. 
  3. Users must be at least 18 years old or duly authorized to enter into agreements on behalf of a legal entity. 
  4. Prior to using the Trial, you declare that you have taken note of these Terms, read them, understand them and accept them. 

3. Creation of the Trial environment

  1. To access and use the Trial, you must create a Trial Account. 
  2. In order to create an account, RESPONSUM needs some basic Personal Information. After entering this Personal Data, you will receive an email to verify and confirm your email address.
  3. You agree to provide accurate and complete Personal Data when creating the Account and setting up the Trial. You confirm you are an authorized representative of the entity you are creating the Account and Trial for. 
  4. You agree to use reasonable endeavors, including reasonable security measures relating to the Account access details, to ensure that no unauthorized person may gain access to your Trial environment. 

4. Use of the Trial

  1. You agree to only use RESPONSUM according to the Terms, including but not limited to the terms of use set out in this section. 
  2. You agree, understand and acknowledge that the Trial is a test-environment intended solely for evaluation and demonstration purposes. It is not a production environment and must not be used to process, store or manage real-life, confidential or Personal Data. Any data entered into the Trial Version is assumed to be fictitious or anonymized, and the Provider shall bear no responsibility for the loss, exposure or misuse of real data inputted in violation of this condition. 
  3. You shall not use the Trial in any manner that does or could potentially undermine or harm the security or operating of RESPONSUM or any other services of the Provider, or that could in any way be detrimental to the image, reputation or any other material or non-material interests of the Provider. In addition, you shall not interfere with, modify or disable any features, functionality or security controls of RESPONSUM or any other services of the Provider. You should also not try to defeat, avoid, bypass, remove, deactivate or otherwise circumvent any protection mechanisms for RESPONSUM or any other services or materials of the Provider, or reverse engineer, decompile, disassemble or derive source code, underlying ideas, algorithms, structure or organizational form from the Trial, services or other products. 
  4. You agree to not use the Trial in any way that is unlawful, illegal, fraudulent or harmful or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity. 

5. Termination and Suspension

  1. The Provider reserves the right to suspend or terminate access to the Trial at any time, with or without notice. 
  2. At the end of the Trial Period, access will automatically expire. No entered data contained in the Trial environment will be retained.

6. Data Protection, Privacy and Confidentiality

  1. In the execution of these Terms, the User and the Provider will adhere to Applicable Data Protection laws. 
  2. The Trial has not been designed for the processing of Personal Data. Consequently, RESPONSUM will not actively look for any Personal Data that might have been uploaded and the User will refrain from doing so. Nonetheless, RESPONSUM has been set up in a manner compliant to the applicable Data Protection Law. 
  3. The User acknowledges to have received, read and understood the Privacy Statement of the Provider for the processing of the User’s Personal Data. 
  4. Each Party agrees to maintain secret and confidential all Confidential Information that it may acquire from the other Party in the course of the Trial Period. 
  5. RESPONSUM servers are hosted in a data center operated by a vendor located within the EEA. 

7. Intellectual Property

  1. All intellectual property rights related to the Trial and RESPONSUM, including software, documentation, trademarks and content, remain the exclusive property of the Provider. 
  2. Nothing in these Terms and Conditions grants any rights beyond the limited license. 

8. Liability

  1. The Trial is provided “as is” during the Trial Period, without warranty of any kind, express or implied.
  2. The Provider does not guarantee uptime, performance, error correction, or support during the Trial.
  3. To the fullest extent permitted under Belgian and EU law, the Provider shall not be liable for any damages arising out of or in connection with the use or inability to use the Trial Version.

9. Governing Law & Jurisdiction

  1. Any dispute regarding these Terms shall be governed by, and construed in accordance with, the laws of Belgium (excluding its conflict of law principles). Either party may bring the dispute (regarding the Terms and all matters relating to it whether in the Terms, tort or otherwise) before the Dutch speaking courts of Brussels, which have exclusive jurisdiction. 

10. Modifications & Alterations

  1. The User acknowledges and agrees that the Provider may modify or alter these Terms and Conditions, and/or the Trial from time to time, based on insights gained during the course of this Agreement, or, based on insights that the Provider has gained through other activities in order to reflect the continuous improvement of the Services such as the addition of better features to the application (each a “Modification”). 
  2. The Provider will not make use of the User’s data in the system for other purposes than providing the services mentioned under this Agreement.
